1. Status and acceptance
These Terms of Use are an agreement between you and the team operating the Springborn Coffee project and springborncoffee.com. The approved public-facing company name is Springborn Coffee, Inc.. The U.S. company is currently being organized, and these terms will be updated when formation details and a valid mailing address are available.
By accessing or using the website, you agree to these terms and the Privacy Policy. If you do not agree, do not use the website or submit information.
2. Website purpose
The website presents Brazilian coffee origin, education, farms, producers, traceability, community plans, and the process of building Springborn Coffee for the United States. Content may describe goals, planned products, milestones, and work in progress.
Pre-launch statements are not guarantees that a product, service, date, partnership, campaign, or feature will become available. We may revise plans as facts, approvals, and operating conditions change.
3. No securities offering or direct investment
Nothing on this website is an offer to sell, a solicitation to buy, or a recommendation concerning securities or an investment. The website does not accept funds or process investments. Any future offering would be made only through authorized channels and the applicable approved offering materials, which would control over general website content.
Company-building updates, expressions of interest, and community participation do not create shareholder, creditor, customer, partnership, employment, or agency rights.
4. Acceptable use
You may use the website for lawful personal or business information purposes. You may not:
- attempt unauthorized access to accounts, servers, source code, databases, or private directories;
- interfere with website operation, security controls, or rate limits;
- submit false, deceptive, unlawful, infringing, or malicious material;
- use automated tools to scrape, overload, probe, or copy the website in a manner that harms Springborn or other users;
- impersonate another person or misrepresent your affiliation;
- use Springborn content or branding to suggest an unauthorized endorsement, offering, or partnership.
The website is not directed to children under 13. You must not submit personal information for a child under 13 through the site.
5. Intellectual property and feedback
Website design, text, graphics, photographs, videos, names, logos, and other original content are owned by or licensed to Springborn and are protected by applicable intellectual-property laws. You may view and share links to public pages, but you may not reproduce, modify, sell, or commercially exploit protected content without written permission.
If you voluntarily send ideas or feedback, you allow us to use them to evaluate and improve the project without creating a confidential, employment, partnership, or compensation obligation. Do not send trade secrets or other information you are not authorized to share.
6. Email signup and communications
Joining requires control of the submitted email address and express consent to the communication categories described in the form. A pending request does not become a lead until the verification code is confirmed. You may unsubscribe or withdraw consent at any time.
Transactional verification and security messages are separate from optional marketing. Commercial marketing will remain disabled until Springborn can provide all required sender information, including a valid mailing address and working opt-out mechanism.
7. Third-party services and links
Links to a community platform, authorized crowdfunding platform, social network, payment provider, or other external service are provided for convenience. Springborn does not control those services. Their terms, privacy policies, availability, security, and decisions apply to your use of them.
8. Disclaimers and limitation of liability
To the fullest extent permitted by applicable law, the pre-launch website and its content are provided “as is” and “as available.” We do not promise uninterrupted access, error-free content, or that descriptions of future plans will remain unchanged.
To the fullest extent permitted by law, Springborn and the project team will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the website. Nothing in these terms excludes liability or consumer rights that cannot lawfully be excluded.
9. Suspension, changes, and applicable law
We may restrict access when reasonably necessary to protect the website, users, project, or legal rights. We may update these terms; material changes will receive a new effective date and version.
Applicable law governs these terms without limiting mandatory rights available to consumers. A specific U.S. state governing-law and forum clause will be added only after the U.S. company’s formation details are complete; no jurisdiction is invented in this pre-formation version.
